Regini Terms of Use

These Terms govern your use of Regini’s services. By accessing or using our Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

1. Definitions & Platform Scope

“Platform” means Regini’s mobile apps (Android & iOS), USSD, and WhatsApp-based services.
“We,” “Us,” “Our” refers to Regini VASP Ltd, incorporated in Kenya.

“You,” “User,” “Your” refers to any individual using our services.

2. About Regini

Regini VASP Ltd is a Kenyan-registered Virtual Asset Service Provider (“VASP”) offering a stablecoin-based savings platform. While Regini is not licensed or regulated by Kenyan or international financial authorities for financial services, we are registered as a Data Controller with the Kenyan Office of the Data Protection Commissioner (ODPC). We provide users with secure custody of digital assets using Fireblocks technology, enabling deposits, withdrawals, financial education, and optional yield through staking. Our services are accessible via mobile app, USSD, and WhatsApp. Regini is committed to promoting financial inclusion and responsible digital asset use in Kenya.

3. Acceptance & Amendments

3.1. By creating an account or using the Platform, you agree to these Terms and our Privacy Policy.

3.2. We may modify these Terms from time to time. Updates will be published on our Platform and take effect immediately upon posting unless otherwise stated. Material changes, changes that significantly alter your rights or obligations, will be communicated via in-app notifications, WhatsApp, SMS, or email (if provided). Continued use after updates constitutes acceptance.

3.3. You are responsible for regularly reviewing these Terms.

4. Eligibility & Account Setup

To use Regini’s services, you must:

Be at least 18 years old and legally capable of entering into binding contracts under Kenyan law.
Not reside in the European Union (we do not offer services to EU residents).
Register by creating a Regini Account and agree to be bound by these Terms.
Provide accurate, complete, and current information during registration and keep your account information up to date.
Not be in breach of these Terms or applicable laws.
Not have a previously blocked, suspended, or closed Regini Account due to violations or misuse.
Not maintain more than one active Regini Account unless explicitly authorized in writing.

We reserve the right to suspend or terminate any account violating these requirements.

5. Account Security and Fraud Prevention

5.1. Account Confidentiality
You are responsible for maintaining the confidentiality of your account credentials. Notify Regini immediately of any unauthorized access or suspected breach. Regini is not liable for losses due to your failure to secure your credentials. You agree to indemnify Regini for any losses incurred due to unauthorized access to your account resulting from your negligence

5.2. Fraud Risk and Transaction Reviews
Transactions flagged as high risk may be delayed, canceled, or require additional verification. We use proprietary and third-party tools to monitor risks and reserve rights to take precautionary actions.

5.3. Consumer Fraud Warnings
Always be vigilant against scams. Beware of common scams including account takeovers, impersonation of Regini, and accidental payment scams. Always verify claims and never share your PIN or password.

5.4. Account Closure and Suspension
Accounts remain active unless closed by you or Regini. Regini may suspend or close accounts without prior notice due to breaches, abusive behavior, suspected fraud, security concerns, funding irregularities, or legal requirements. Inactive accounts may be deactivated after 18 months. While no inactivity fees are charged, you may need to re-verify your identity to access funds in a deactivated account.

6. Use of Platform & Prohibited Conduct

Access is for lawful, personal use only. Prohibited activities include money laundering, terrorism financing, illegal activities, tampering, impersonation, unauthorized use, and spam. We may suspend or terminate misuse.

7. KYC & Compliance

Non-KYC users may access education and AI finance coach features. Full platform access (wallet, deposits, withdrawals, staking) requires KYC verification via SmileID. Illicit use may result in suspension.

8. Deposits, Withdrawals & Transactions

Deposits and withdrawals occur via Kotani Pay after KYC completion.

Minimum deposit/withdrawal: 350 KES
Maximum per transaction: 250,000 KES
Daily transaction limit: 500,000 KES
Withdrawals are available at any time, subject to Platform availability. You will receive transaction confirmations and may request statements via app, USSD, or WhatsApp.

9. Exchange Rates and Currency Conversion

Exchange rates refer to the USD rate for the relevant local currency at the time of transaction, provided by our on- and off-ramp provider, currently Kotani Pay. Exchange rates are determined by our on- and off-ramp provider and may vary based on market conditions and their pricing. These rates may include a spread or fee charged by the provider. We may change providers or sourcing methods without prior notice. Applicable exchange rates will be disclosed before you confirm transactions involving conversion.

10. Custody of Digital Assets

10.1. Type of Crypto Service Offered
Regini operates as a Virtual Asset Service Provider (VASP) providing secure custody services for stablecoins held in segregated wallets on behalf of its users. Our custody service includes safeguarding, managing, and facilitating deposits, withdrawals, and optional yield-earning staking products on your behalf.

10.2. Custody Strategy
Each user is assigned a dedicated, segregated digital wallet to hold their stablecoins. Regini utilizes Fireblocks’ multi-party computation (MPC) technology and other state-of-the-art security protocols to protect your assets. Under no circumstances will Regini lend, transfer, or use your assets without your explicit authorization.

10.3. User Authentication and Communications
Users authenticate with Regini through multi-factor verification methods, including passwords, PINs, and biometric authentication where supported. Communication regarding your account, transactions, and custody will be conducted securely via our Platform, including mobile apps, USSD, WhatsApp, email, and SMS. Regini will never request sensitive credentials through unsolicited channels.

10.4. Security Systems
Regini employs industry-leading security systems including MPC cryptographic signing, encrypted data storage, two-factor authentication (2FA), continuous monitoring for suspicious activity, and secure disaster recovery protocols. Despite these measures, no system is completely immune to breaches; users acknowledge the inherent risks of digital asset custody.

10.5. Fees and Costs
Regini does not charge any fees for custody activities. However, other fees may apply when using the Platform, as detailed in Clause 11 (Yield & Fees). These may include fees charged by third-party providers such as Kotani Pay for on/off-ramping transactions, as well as the performance fee on staking yields.

10.6. Insolvency and Disaster Recovery
In the unlikely event of Regini’s insolvency or business cessation, we commit to returning all user assets promptly according to our disaster recovery protocols. User assets are held segregated from Regini’s own funds and are protected to the fullest extent permitted by applicable laws. However, as Regini is not a regulated financial institution, your assets are not covered by any government-backed deposit protection schemes or investor compensation funds.

11. Yield & Fees

You may opt-in to staking to earn yield. A 0.5% performance fee is deducted from yield earned. There are no fees for deposits, withdrawals, or inactivity. Kotani Pay may charge fees for fiat conversion.

12. Communications

We may send transactional messages mandatorily and promotional messages optionally via email, SMS, and WhatsApp.

13. Service Availability

We aim to keep services accessible but do not guarantee uninterrupted availability. Services may be suspended, withdrawn, or modified at any time without notice for maintenance, legal compliance, or operational reasons. We are not liable for service interruptions. You are responsible for your hardware, software, network, and any related charges.

14. Dispute Resolution & Governing Law

These Terms are governed by Kenyan law. All disputes will be resolved by binding arbitration in Nairobi, Kenya, in English, under the rules of the Nairobi Centre for International Arbitration (NCIA).

15. Disclaimer of Warranties, Indemnification, and Limitation of Liability

15.1. Disclaimer of Warranties
Regini provides the Platform “as is” and “as available” without warranties, express or implied, including merchantability, fitness for purpose, or non-infringement.

15.2. No Liability for Content and User Data
We are not liable for user content, data loss, or unauthorized account use.

15.3. Limitation of Liability
To the maximum extent allowed by law, Regini and its affiliates will not be liable for indirect, incidental, consequential, punitive damages, or losses related to Platform use, including those caused by third parties or Force Majeure events. Our total liability per 12 months is capped at fees paid by you (if any).

15.4. Force Majeure
We are not liable for failures caused by events beyond reasonable control (e.g., outages, attacks, disasters, government actions).

15.5. Third-Party Services and Content
We are not responsible for third-party sites or services integrated or linked via the Platform.

15.6. Indemnity
You agree to indemnify and hold harmless Regini, its affiliates, officers, directors, agents, and employees from any claim or demand, including reasonable legal fees and expenses, arising out of your breach of these Terms, your illegal acts, or your misuse of the Platform.

You must provide accurate information, verify transactions, and acknowledge service eligibility may vary by location.

16. Intellectual Property and Confidentiality

16.1. All intellectual property rights in the Platform are owned by Regini or licensors. You may only use the Platform as authorized and may not copy or create derivatives without permission.

16.2. You grant Regini a license to use any content you upload for Platform operation and improvement.

16.3. You must keep Regini’s non-public information confidential unless required by law.

16.4. We handle your personal data in strict accordance with our Privacy Policy and the Kenyan Data Protection Act, 2019, as a registered Data Controller with the Office of the Data Protection Commissioner. We may share data with trusted third parties only as necessary to provide services, enhance security, or comply with legal obligations.
